1. Acceptance of Terms

By accessing and using InventoryQuick ("the Service"), you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

2. Description of Service

InventoryQuick is a cloud-based inventory management platform that allows users to track inventory, manage suppliers, create purchase orders, and perform related business operations. The Service is provided "as is" and we reserve the right to modify or discontinue features at any time.

3. Account Registration

To use InventoryQuick, you must:

• Be at least 18 years of age
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Be responsible for all activity under your account
• Notify us immediately of any unauthorized access

4. Acceptable Use

You agree NOT to:

• Use the Service for any illegal purpose
• Violate any laws or regulations
• Infringe on intellectual property rights
• Upload malicious code, viruses, or malware
• Attempt to gain unauthorized access to the Service
• Reverse engineer or decompile the Service
• Use automated systems (bots, scrapers) without permission
• Resell or redistribute the Service without authorization

5. Subscription and Billing

Free Plan: Our Free plan is free forever with limited features (up to 25 parts).

Paid Plans: Paid subscriptions are billed monthly or annually in advance. By subscribing, you authorize us to charge your payment method on a recurring basis.

• Pricing: Current pricing is displayed on our website and in the app
• Changes: We may change prices with 30 days notice
• Refunds: Refunds are issued at our discretion on a case-by-case basis
• Cancellation: You may cancel anytime. Access continues until the end of the billing period
• Failed Payments: If payment fails, your account may be downgraded or suspended

6. Data Ownership and Usage

Your Data: You retain all rights to the data you upload to InventoryQuick (inventory items, suppliers, etc.). We do not claim ownership of your data.

Our Rights: You grant us the right to store, process, and display your data as necessary to provide the Service.

Data Backup: While we perform regular backups, you are responsible for maintaining your own backups. We recommend using our CSV export feature regularly.

7. Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted service. The Service may be unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any damages resulting from service interruptions.

8. Intellectual Property

InventoryQuick, including its design, features, and code, is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• InventoryQuick is provided "AS IS" without warranties of any kind
• We are not liable for any indirect, incidental, or consequential damages
• Our total liability is limited to the amount you paid us in the past 12 months
• We are not responsible for data loss, business interruption, or lost profits

10. Indemnification

You agree to indemnify and hold InventoryQuick harmless from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

11. Termination

By You: You may terminate your account at any time from Settings → Account.

By Us: We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any reason with 30 days notice.

Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days to allow you to export it, after which it will be permanently deleted.

12. Changes to Terms

We may modify these Terms at any time. We will notify you of significant changes via email or in-app notification. Continued use of the Service after changes constitutes acceptance of the new Terms.

13. Governing Law

These Terms are governed by the laws of the United States and the State of California, without regard to conflict of law principles.

14. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration, except that either party may seek injunctive relief in court to protect intellectual property rights.
